Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website afdesignstudiofl.com (the "Site") operated by AF Design Studio LLC ("AF Design Studio," "we," "us," or "our"), as well as any services provided by AF Design Studio.

By accessing or using our Site or services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Site or use our services.

Services

AF Design Studio provides branding, website design, creative direction, and related digital services. The specific scope, deliverables, timeline, and pricing for any project will be outlined in a separate proposal or service agreement between AF Design Studio and the client.

All services are provided on a project basis or through ongoing retainer arrangements as agreed upon in writing. We reserve the right to decline any project or terminate any engagement at our discretion.

Intellectual Property

Our Content

The Site and its entire contents, features, and functionality—including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement—are owned by AF Design Studio, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Client Work

Ownership and intellectual property rights for client work will be addressed in individual project agreements. Generally, upon full payment, clients receive ownership of final deliverables created specifically for them. We retain the right to display work in our portfolio unless otherwise agreed in writing.

Portfolio Rights

Unless explicitly agreed otherwise in writing, AF Design Studio retains the right to display and describe completed work in our portfolio, marketing materials, and submissions for awards or publications.

User Conduct

When using our Site or services, you agree not to:

• Use the Site in any way that violates any applicable federal, state, local, or international law or regulation
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site
• Attempt to gain unauthorized access to any part of the Site or any systems or networks connected to the Site

• Introduce any viruses, trojan horses, worms, or other malicious code
• Infringe upon or violate our intellectual property rights or the intellectual property rights of others

Payment Terms

Specific payment terms, including deposits, milestone payments, and final payment requirements, will be outlined in individual project proposals and service agreements. General payment policies include:

• A deposit is typically required to secure project start dates
• Payment schedules are tied to project milestones as outlined in agreements
• Late payments may result in project delays or suspension of services
• All fees are non-refundable unless otherwise specified in the project agreement

Limitation of Liability

To the fullest extent permitted by applicable law, AF Design Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to, use of, or inability to access or use the Site or services
• Any conduct or content of any third party on the Site
• Any content obtained from the Site
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims arising out of or relating to the use of the Site or services exceed the amount paid by you to AF Design Studio during the twelve (12) months preceding the claim.

Disclaimer of Warranties

The Site and services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We make no warranties regarding the results that may be obtained from the use of our services.

Indemnification

You agree to defend, indemnify, and hold harmless AF Design Studio, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site or services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the federal or state courts located in Lee County, Florida.

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Site or services after any revisions become effective, you agree to be bound by the revised terms.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

The failure of AF Design Studio to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of AF Design Studio.
